1.1 Treeboat (Inserve India), with its registered address at Signum, Sector 95, Gurugram, Haryana, 122505 (“Treeboat”, “we”, “us” or “our”), operates the mobile application/website www.treeboat.in (collectively referred to as the “Treeboat Platform”), through which it facilitates the sale of furniture and other related products (“Products”) to the users of the Treeboat Platform (“User” or “Users” or “you” or “your”).

1.2 This delivery and shipping policy (“Policy”), together with the Terms, outlines our policies and procedures regarding the delivery and shipping of Products purchased on the Treeboat Platform.

1.3 We provide shipping and delivery of our Products across India. We strive to deliver the best customer experience by partnering with leading logistics service providers to manage your order and ensure a smooth delivery process. We make commercially reasonable efforts to ensure that the Products are delivered to you promptly.

1.4 By using the Treeboat Platform and/or purchasing a Product, you agree to be bound by the terms of this Policy. We encourage you to review this Policy regularly. If you do not agree with any part of this Policy, please do not use, access, or transact on the Treeboat Platform.

2. TERMS OF SHIPPING AND DELIVERY

2.1 We partner with third-party logistic service providers to handle the shipping and delivery of Products. You will receive an estimated delivery timeline for your order on the order confirmation page. We will also send order details, including dispatch information, to the email address and/or mobile number provided by you. While we generally use Logistic Partners for delivery, we reserve the right to ship and deliver Products ourselves. In the NCR region, we typically require 1-2 working days to deliver ready product. For Custom-made products, it depends on requirement and a timeline will be set mutually.

2.2 Although we aim to deliver Products across India, some areas may be deemed unserviceable. We or our Logistic Partners may not provide delivery services in such areas. If your location is unserviceable, we will notify you when placing an order. You can also check serviceability by entering your pin-code on the Treeboat Platform.

2.3 To ensure timely delivery, we may collect specific information such as your name, shipping address, billing address, landmarks, and contact details. It is your responsibility to provide accurate and complete information. We will not be liable for delivery issues caused by incorrect or incomplete information provided by you.

2.4 We will attempt to deliver the Product to your address within the estimated timeline. If you are unavailable to accept the delivery, our Logistic Partners will make up to three delivery attempts. If the third attempt fails, we may cancel the order and process a return of the Product. Shipping and delivery charges incurred will be deducted from any refund processed.

2.5 Delivery may be delayed due to factors such as:

• Logistical issues beyond our control
• Unfavorable weather conditions
• Political disruptions or strikes
• Natural disasters
• Other unforeseen circumstances

In case of delays, we will attempt to notify you via email and/or mobile number. We are not liable for any damages resulting from delayed delivery and are not obligated to provide compensation for such delays.

2.6 We work with Logistic Partners who are expected to maintain high standards of professionalism. However, we are not responsible for the actions or omissions of delivery personnel, including any service deficiencies or disputes between you and the delivery agents.

2.7 Once your order is processed and handed over to the Logistic Partner, you will receive a tracking number. You can use this number to track your Product's status on the Treeboat Platform or the Logistic Partner’s website or app. We do not guarantee the accuracy of tracking information due to potential technical issues or delays.

2.8 We reserve the right to charge shipping fees, which may vary based on factors such as Product value, delivery area, and payment method. Shipping fees collected will not be refunded, except in cases where a defected or incorrect Product is delivered and accepted by us after verification.

2.9 Returns are handled by our reverse-logistics partners. Upon receiving a return request, our reverse-logistics partners will contact you to collect the returned Product. Returns and exchanges are processed in accordance with our Cancellation, Return, and Refund Policy.

1. WHAT IS THIS FEES AND PAYMENTS POLICY?

This Fees and Payments Policy (“FPP Policy”), together with the Terms of Use, describes Treeboat's accepted payment methods, and its policies and procedures regarding the acceptance of fees and payments for the services offered through the Treeboat Platform. Our goal is to ensure that the Treeboat Platform is user-friendly and equipped with appropriate security measures to protect any financial information shared by Users.

Users are required to review and understand the terms of this FPP Policy. If you do not agree to the terms contained in this FPP Policy, you should not accept the Terms of Use or this FPP Policy and should immediately discontinue using the Treeboat Platform. By using, browsing, accessing, or making a purchase on the Treeboat Platform, you agree to be bound by the terms contained herein.

2. FEES AND PAYMENT OPTIONS

2.1 Treeboat does not charge any fee for browsing the Treeboat Platform. In the future, we may introduce fees for using the Treeboat Platform or for specific features. If such fees are introduced, you agree to pay any applicable fees. We may not provide prior notice before implementing such changes, and continued use of the Treeboat Platform will be deemed as acceptance of the new fees.

2.2 To ensure convenience, Treeboat offers various payment options. We reserve the right to add or remove payment options without prior notice. Currently, payment options include:

• Select debit cards
• Prepaid payment instruments and electronic wallets
• Any other payment methods introduced by Treeboat

These payment methods are collectively referred to as “Payment Options”. While we strive to offer diverse Payment Options through various banking channels, Treeboat currently accepts payments from major banking avenues and international credit/debit cards.

2.3 Acceptance of payments through the Payment Options is at Treeboat’s sole discretion. We may reject a payment for any reason and may request additional verification, such as a photo ID (e.g., PAN card), to validate a transaction. Failure to provide such verification may result in the rejection of your payment.

2.4 When using Payment Options, you agree to provide accurate and complete financial information. You must use a payment method lawfully owned by you or authorized for your use. You are responsible for the security and confidentiality of your financial information. Treeboat disclaims liability for any unauthorized use of your financial information.

2.5 Treeboat is not liable for any loss or damage suffered by you due to:

• Lack of authorization for transactions, including gift cards and vouchers
• Exceeding credit/debit limits
• Technical issues during transactions
• Declined transactions due to factors beyond our control

2.6 We may impose limits on the number of transactions you can make on the Treeboat Platform. Transactions may be refused if limits are exceeded or if there is a suspicious transaction history. We may also delay dispatch or cancel purchases for users with questionable credibility. Treeboat is not liable for any damages or claims resulting from such actions.

2.7 All Product prices listed on the Treeboat Platform include applicable taxes. You are responsible for all fees, costs, and charges associated with purchasing Products, including taxes such as GST. Despite our best efforts, there may be pricing errors. In the event of a price discrepancy:

• If the delivered Product’s MRP is lower than the listed price, you must notify us within 24 hours at hello@treeboat.in. If verified, the difference will be refunded within 15 days.
• If the listed price is higher than the MRP, and no offer or discount applies, we may withhold dispatch until the error is corrected and the difference is paid. If you refuse to pay the difference, you can cancel the order and receive a refund within 15 days.

2.8 For processing refunds, you need to email us at hello@treeboat.in. Refunds will be made to the original payment method used.

2.9 Your bank, financial institution, or card issuer’s terms and conditions may also apply. Treeboat is not liable if electronic payments are declined or prevented by these entities.

2.10 Treeboat may contract with third-party payment service providers, including banks, to facilitate payments. Payments to third-party service providers will be initiated upon successful delivery of Products.

2.11 If you notice an unauthorized charge on your payment instrument, you must first check if someone authorized such a purchase. If the charge remains unidentified, report it to us within 10 days for investigation.

2.12 If a payment is invalidated, Treeboat reserves the right to reclaim the Invalidated Payment. You must remit the amount to our account within 5 days of receiving a notice. Failure to do so may result in legal action at your expense.

These terms and conditions (“Terms”) form a binding agreement between Inserve India (“we”, “us” or “our”), which operates the Treeboat Platform (as defined below), and any natural or legal person who accesses and/or uses the Treeboat Platform in any manner (“you” or “your”) or utilizes any current or future service, functionality, or offer provided on the Treeboat Platform (“Service(s)”), as updated from time to time.

By using the Treeboat Platform, you agree to abide by these Terms. If you do not agree with any part of these Terms, please refrain from using the Treeboat Platform. Note that your access to Services, other platforms, or utilization of Products (as defined below) may also be subject to additional terms and conditions, policies, or guidelines (“Additional Terms”) along with these Terms. In the event of any inconsistency between these Terms and Additional Terms, the Additional Terms will take precedence concerning the relevant Service or Product use. These Terms govern your use of the Treeboat Platform and transactions thereon.

These Terms are divided into two parts. Please read all sections carefully to understand the conditions applicable to your use of the Treeboat Platform and the purchase of Products.

PART A – TERMS AND CONDITIONS FOR USAGE OF TREEBOAT

GENERAL 1.1 The terms and conditions for using the Treeboat Platform, as outlined herein (“Terms of Use”), specifically govern your access and use of the Treeboat Platform. This platform allows you to discover, select, and purchase Products listed at indicated prices from locations we service.

1.2 We may modify these Terms of Use from time to time. Please review them each time you use the Treeboat Platform to ensure you understand the current terms and conditions. We reserve the right to change the format and content of the Treeboat Platform or suspend its operation for maintenance or updates at any time.

5.2 We offer Services tailored to specific regions. Services available in one region may differ from those in another. We may cancel or redirect orders based on regional availability and regulations.

5.3 Information on the Treeboat Platform may reference Products or Services not available in your country. Such references do not imply availability or intention to offer them in your location.

5.4 We monitor accounts to prevent fraud. Users engaging in fraudulent activities or using referral vouchers improperly may face legal action and be liable for recovery costs. We reserve the right to terminate accounts and cancel orders without liability.

SEVERABILITY 15.1 If any provision of these Terms is deemed unenforceable, the remaining provisions will continue to apply.

FORCE MAJEURE 16.1 We are not liable for any delay or failure in performance due to circumstances beyond our control, including natural disasters, war, or technical failures.

PART B – TERMS AND CONDITIONS OF SALE ON TREEBOAT PLATFORM

The terms and conditions of sale set forth herein (“Terms of Sale”) constitute an agreement between us, Inserve India (“we”, “us”, or “our”), and you, the customer (“you” or “your”), and govern the terms and conditions on which you purchase Products from us through the Treeboat Platform. By placing an order for any Product or making a purchase through the Treeboat Platform, you expressly agree to be bound by these Terms of Sale.

These Terms of Sale are in addition to the Agreement. This electronic record is generated by a computer system and does not require physical or digital signatures.

OUR CONTRACT OF SALE 1.1 The listing and display of a Product on the Treeboat Platform is an invitation to you to make an offer to purchase such Product. The placement of an order on the Treeboat Platform constitutes your offer to buy the Product(s) from us.

1.2 Once you have placed an order for a Product, you will receive an email and/or mobile confirmation acknowledging receipt of your order (the “Order Confirmation”). This confirmation merely acknowledges that we have received your order and does not signify our acceptance of your offer.

1.3 We accept your offer and conclude the contract of sale for a Product when the Product is shipped or dispatched to you and an email and/or registered mobile confirmation is sent to you (the “Shipment Confirmation”). We reserve the right to refuse or cancel any order at our sole discretion before sending the Shipment Confirmation.

1.4 If your order is dispatched in multiple packages, you may receive separate Shipment Confirmations for each package. Each Shipment Confirmation will conclude a separate contract of sale for the Products specified in that Shipment Confirmation.

1.5 All communications from us will be sent to your registered mobile number and/or email address or such other contact details that you provide for the transaction. You are responsible for updating your contact details on the Treeboat Platform. We may also send notifications and reminders about scheduled deliveries. We will make every effort to provide prompt notifications, but we are not liable for any failure to send such communications.

1.6 Your contract is with us, and you confirm that the Product(s) ordered are for your personal use and not for resale or business purposes. We sell Products only in quantities typical for an average household.

1.7 All orders are subject to Product availability, our acceptance of your offer, and your adherence to these Terms of Sale.

1.8 You authorize us to make any necessary declarations to governmental authorities on your behalf, including confirming that the Products ordered are for personal, non-commercial use.

RETURN AND REFUND Please review our Return Policy and Refund Policy, which apply to Products sold by us.

PRODUCT AVAILABILITY We provide availability information for Products on the relevant webpage of the Treeboat Platform. Availability is subject to change and cannot be guaranteed. Dispatch estimates are not guaranteed. We will notify you by email and/or mobile SMS if any Products you ordered are unavailable or out of stock.

PRODUCT PRICING 4.1 All prices are listed in Indian Rupees and include all applicable taxes.

4.2 The price of Products in your shopping cart reflects the most recent price displayed on the Product’s information page. Prices may change between the time you place a Product in your cart and the time you place your order. The prices applicable at the time of order placement will be charged on the delivery date.

LICENSES You acknowledge that certain Products may require licenses or permissions under applicable laws. You are solely responsible for obtaining such licenses/permissions and complying with their terms.

TAXES You are responsible for payment of all fees, costs, and charges associated with the purchase of Products, including any applicable taxes.

ELIGIBILITY Only individuals who can enter into legally binding contracts under Indian law, i.e., those who are 18 years or older, of sound mind, and not disqualified by law, can use the Treeboat Platform and place orders. Minors (under 18 years) may only make purchases with parental or guardian involvement.

LIMITATION OF LIABILITY Our liability, if any, is limited to the amount charged to you for the Products related to the claim. We are not liable for business losses (including loss of profits, revenue, or goodwill) or any other indirect or consequential losses not reasonably foreseeable at the time the contract was formed.

AMENDMENTS We reserve the right to change our policies and these Terms of Sale at any time. You will be subject to the Terms of Sale in effect at the time you place an order, unless changes are required by law or government authority (in which case they will apply to orders previously placed). If any provision is deemed invalid or unenforceable, it will be severed, and the remaining provisions will remain in effect.

WAIVER No provision in these Terms of Sale will be deemed waived, and no breach excused, unless such waiver or consent is in writing and signed by us. Our consent to or waiver of a breach will not constitute consent to or waiver of any other breach.

GOVERNING LAW AND DISPUTE RESOLUTION These Terms of Sale and any transactions between you and us are governed by the laws of India, with exclusive jurisdiction granted to the courts of New Delhi.

MISCELLANEOUS 13.1 In addition to these Terms of Sale, you must comply with the terms and conditions of any third parties, such as bank offers or brand promotions, linked within the Treeboat Platform.

13.2 These Terms of Sale supersede all previous oral or written terms and conditions communicated to you by us for the purchase of Products.
